CEO Koen Slippens: “Our sales markets showed a modest recovery this year. In the Netherlands, there was not only inflation but also some volume growth. The Belgian market also saw growth, but this remained purely inflation-driven. Cost inflation subsided, although we still faced some considerable price rises in logistics in particular. The cost-cutting measures we have taken in recent times enabled us to absorb these impacts comfortably and there was some scope to pass on these higher costs along the value chain.
The combination of profitability and improved working capital led to a strong cash flow. We were therefore able to make the planned capital investments in our digital ambitions and physical network, acquire GEPU, pay a dividend and further reduce our debt. Based on that result and our dividend policy, we propose a dividend for 2025 of €0.50 per share. As an interim dividend of €0.40 per share was already paid in 2025, a final dividend of €0.10 per share remains."

We announce the introduction of a share buyback programme of up to €26 million, which will operate between 6 February 2026 and 14 November 2026 in addition to payment of the regular dividend. Shares repurchased under the programme will be cancelled.
We have appointed an independent financial intermediary to carry out the programme, with the authority to purchase up to 2,212,750 shares, equal to 5% of the Group’s issued share capital. The exact timing of the purchases will be determined independently by the financial intermediary, without any input from Sligro Food Group.
The programme will be run in accordance with the requirements of Article 5 of the Market Abuse Regulation (EU) No. 596/2014 and our articles of association. Operation of the programme is dependent on market conditions and may be suspended, changed or terminated at any time.

Revenue for Sligro Food Group N.V. for 2024 came in at €2,890 million, an increase of 1.1% compared to the €2,859 million in revenue in 2023. The revenue increase was entirely organic.
Total revenue breaks down by segment as follows:
In the Netherlands, revenue was up by 2.6% (Q4: increase of 4.6%). The impact of the tobacco revenue was significant this year, although the impact decreased slightly in the fourth quarter. Excluding the tobacco, the revenue in the Netherlands increased by 0.4% (Q4: increase of 3.2%).
The tobacco revenue this year was €267 million (Q4: €63 million). The share of tobacco in our revenue increased this year, coming in at 9.2% of the total revenue compared to 7.4% in 2023. As of 2025 we will no longer sell any tobacco.
In Belgium, the decrease in revenue amounted to 7.8% (Q4: decrease of 7.8%). As anticipated, revenue remained below last year’s level in the fourth quarter compared to prior year, but we have observed an improving trend since the third quarter and a narrowing gap compared to previous year.

As announced at the presentation of our 2024 half-year figures, we decided to pay an interim dividend, in accordance with our dividend policy.
The interim dividend amounts to €0.30 per share and will be payable on Monday 7 October 2024.
The ex-dividend date is Friday 20 September 2024.
The record date is Monday 23 September 2024.

Sligro Food Group N.V. generated €730 million in revenue over the third quarter of 2024, up €25 million or 3.5% on the revenue of €705 million posted in the third quarter of 2023.
In the Netherlands, we saw revenue development recover in the third quarter. After a mediocre second quarter, conditions were more favourable in the third. Revenue development was also driven by the increase in tobacco sales on the back of the shift from the retail to the petrol channel due to a change in tobacco legislation.
In Belgium, it looks as though the greatest impact of revenue losses due to all the changes we have implemented is now behind us. Over the past quarters, hard work has gone into setting up an IT platform and logistics infrastructure in Belgium to be able to offer our customers there, like in the Netherlands, the benefits of an integrated and nationwide delivery network. This was a major programme that involved some temporary inconvenience for our customers. We now have the foundation in place for professional and efficient operations, which will benefit both our customers and Sligro itself, making this a key milestone. As the third quarter progressed, the revenue drop compared to last year levelled out and we returned to attracting new customers. While we reached that point later than expected, we are pleased to see these first signs of recovery.

ZiN Inspiratielab was all about sustainability on November 23rd. 123 food professionals attended the fourth edition of 'Together towards sustainability'. A day full of new insights, interesting meet-ups and tasty and sustainable innovations.
The day was opened by Dries Bögels, CCO of Sligro Food Group. He talked about the importance of sustainability within foodservice and the choices Sligro Food Group makes in this regard. He also introduced the first plastic-free coffee cup during the event. This plastic-free disposable cup meets the requirements of the SUP legislation.
The keynote speaker of the day was Kees-Willem Rademakers, lecturer and researcher in logistics at the Hogeschool of Amsterdam. He took the audience through his vision of logistics in food service. He is convinced that logistics is at the core of keeping people in urban regions fed in the future and improving livability.
After the keynote, food professionals participated in several master classes. Participants were able to ask questions about SUP legislation, be prepared for the hard work of CSRD, or taste Primitive Dutch dishes from the chef. There was also an exclusive master class, led by Lucas Simons, that got you started on understanding and tackling large, complex sustainability challenges.
After the master classes, it was time to walk around the XL Meet&Greet plaza in the self-serve wholesale food court. Almost thirty suppliers were ready to provide the food professionals with a vegan bitterball, vegan kibbeling or a piece of pure meat.
Finally, Joël Broekaert, restaurant critic and culinary journalist at NRC, closed the day with his views on sustainability. Sustainability does not have to be just vegetarian and organic, but rather relates to beautiful, old artisan traditions. His message was clear: How can we work together to make the world a little bit better?

The FD Henri Sijthoff Prize is an annual award presented by Het Financieele Dagblad to companies that excel in their financial and non-financial annual reporting and communication. The prize is awarded in the categories of AEX-listed companies, other listed companies (including Sligro Food Group), and non-listed companies.
Sligro Food Group has been nominated ten times before and has won the prize three times, in 2002, 2016, and 2020.
The winners will be announced on Thursday, November 6, 2025.
